1. Acceptance of Terms

All services are provided subject to separate service agreements and project specifications.
4. Client Obligations
4.1 Information and Cooperation
Clients agree to:
- Provide accurate, complete, and timely information required for service delivery
- Cooperate with our team and respond to requests within agreed timeframes
- Provide necessary access to systems, data, and personnel as required
- Ensure compliance with applicable laws and regulations
4.2 Payment Terms
Clients agree to:

5. Intellectual Property Rights

6. Confidentiality
Both parties agree to maintain strict confidentiality regarding:

- Client data and personal information
- Financial information and pricing
- Any other information marked as confidential
Confidentiality obligations survive termination of services and continue indefinitely.
7. Service Level Commitments
7.1 Quality Standards
We commit to delivering services that meet professional industry standards and agreed specifications. However, we do not guarantee error-free or uninterrupted service.
7.2 Response Times
We will respond to client inquiries within 24 hours during business days. Emergency support is available 24/7 for existing clients with active support agreements.
7.3 Availability
While we strive for high availability, we do not guarantee 100% uptime for our services. Scheduled maintenance will be communicated in advance when possible.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific service in question
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for damages resulting from client's failure to follow our recommendations or instructions
- We are not liable for third-party actions or system failures beyond our control
9. Indemnification
Clients agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Client's use of our services in violation of these Terms
- Client's violation of applicable laws or regulations
- Client's infringement of third-party intellectual property rights
- Client's provision of inaccurate or incomplete information
10. Termination
10.1 Termination by Client
Clients may terminate services with 30 days written notice. Payment for completed work and any cancellation fees as specified in service agreements will apply.
10.2 Termination by Us
We may terminate services immediately if:
- Client breaches these Terms or service agreements
- Client fails to make payments as agreed
- Client engages in illegal or unethical activities
- We determine that continued service is not feasible
10.3 Effect of Termination
Upon termination, all outstanding payments become immediately due, and both parties' confidentiality obligations continue.
11. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to:
- Natural disasters and acts of God
- Government actions and regulatory changes
- Internet outages and cyber attacks
- Pandemics and public health emergencies
- War, terrorism, and civil unrest
12. Dispute Resolution
12.1 Negotiation
Both parties agree to attempt to resolve disputes through good faith negotiation before pursuing legal action.
12.2 Arbitration
Any disputes that cannot be resolved through negotiation shall be subject to binding arbitration in New Delhi, India, under the Arbitration and Conciliation Act, 2015.
12.3 Governing Law
These Terms are governed by the laws of India. Any legal proceedings shall be conducted in the courts of New Delhi, India.
13. Data Protection and Privacy
Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Clients agree to comply with applicable data protection laws and regulations.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
Material changes will be communicated to clients via email or other appropriate means at least 30 days before they take effect.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
16. Entire Agreement
These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between the parties regarding the subject matter and supersede all prior agreements, representations, and understandings.
